Terms of Use

Welcome to VentureBridge. These Terms of Use govern your access to and use of the VentureBridge platform, including our website, marketplace, messaging features, and related services (collectively, the "Platform").

By creating an account or using VentureBridge, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

VentureBridge is a technology platform that helps founders publish startup profiles and helps investors discover opportunities, request founder contact, and communicate through the Platform.

VentureBridge does not guarantee funding, investment outcomes, startup quality, or user credibility. We are a facilitator only — we are not a party to any transaction, investment, or agreement entered into between users.

VentureBridge is a technology platform only. We are not a licensed investment adviser, capital market intermediary, fund manager, dealer in securities, or financial planner under the Capital Markets and Services Act 2007 (Malaysia) or any other applicable law.

Nothing on the Platform constitutes investment advice, a solicitation to invest, or a recommendation to buy or sell any security or financial instrument. Users are solely responsible for evaluating opportunities and must obtain their own independent professional, legal, and financial advice before making any investment decision.

You must be at least 18 years old and legally capable of entering into a binding agreement under the laws of your jurisdiction to use VentureBridge.

By using the Platform, you represent and warrant that the information you provide is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Please notify us immediately at venturebridgemy@gmail.com if you believe your account has been accessed without authorisation.

If you are a founder, you may upload startup information, logos, images, financial projections, traction data, and other materials ("Founder Content").

You confirm that you own or have the right to use all content you upload and that it does not infringe any third-party intellectual property rights.

If you are an investor, you agree to use the Platform responsibly, in good faith, and in compliance with applicable laws and regulations, including those governing securities and investments in your jurisdiction.

You must not misuse founder information, scrape Platform data, impersonate others, or use the Platform for unlawful, deceptive, or harassing purposes.

You agree not to use VentureBridge to identify a counterparty and then deliberately move the business relationship off-Platform to avoid any obligations to VentureBridge or to circumvent the Platform's intended use.

This includes but is not limited to arranging deals, investments, or commercial relationships through channels outside VentureBridge solely to avoid Platform fees or terms that would otherwise apply.

You must not use bots, scrapers, crawlers, automated scripts, or any other automated means to access, extract, copy, index, or harvest data from the Platform without our prior written permission.

Violation of this clause may result in immediate account termination and may expose you to legal liability.

VentureBridge allows investors to request contact with founders and communicate through Platform messaging.

You agree not to use these features for spam, harassment, misleading solicitations, unauthorised promotions, phishing, or the unlawful collection of personal or confidential information.

Certain features — including extra listing credits, listing packs, and subscription plans — require payment, processed securely through our third-party payment provider, Stripe.

If a technical error on our part prevents delivery of a paid feature, contact us at venturebridgemy@gmail.com within 14 days and we will review your case in good faith.

Subscription plans renew automatically unless cancelled before the renewal date. You can cancel at any time through your dashboard. Access continues until the end of the current billing period.

The VentureBridge Platform, branding, interface, and software are owned by or licensed to VentureBridge. All rights are reserved.

You may not copy, reverse engineer, distribute, sublicense, or exploit any part of the Platform except as expressly permitted by law or with our prior written consent.

You retain ownership of your own content. By uploading content to the Platform, you grant VentureBridge a non-exclusive, royalty-free, worldwide licence to host, display, and distribute that content solely to operate the Platform.

Your use of VentureBridge is also governed by our Privacy Notice, which explains how we collect, use, and protect your personal data in compliance with the Personal Data Protection Act 2010 (Malaysia).

We may suspend, restrict, or terminate your access if you breach these Terms, misuse the Platform, or create legal, security, or reputational risk for VentureBridge or other users.

You may stop using the Platform at any time by closing your account.

Upon termination, your right to access the Platform ceases. Content you have published may be removed at our discretion. Paid credits or subscription time that remain unused at termination are non-refundable unless otherwise required by law.

You agree to indemnify, defend, and hold harmless VentureBridge, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Platform, your content, your breach of these Terms, or your violation of any law or third-party rights.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

To the fullest extent permitted by applicable law, VentureBridge will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, business, or goodwill, arising from your use of or inability to use the Platform.

In any case, VentureBridge's total aggregate liability to you for any claim arising out of or related to these Terms or the Platform will not exceed the total amount paid by you to VentureBridge in the three (3) months immediately preceding the event giving rise to the claim, or RM 50, whichever is greater.

We encourage you to contact us first at venturebridgemy@gmail.com to resolve any dispute informally before pursuing formal proceedings.

If a dispute cannot be resolved informally within 30 days, either party may pursue their rights through the courts of Malaysia.

These Terms are governed by and construed in accordance with the laws of Malaysia. You agree to submit to the exclusive jurisdiction of the courts of Malaysia for any disputes arising under or in connection with these Terms.

We aim to keep VentureBridge available and reliable, but we do not guarantee uninterrupted or error-free service.

We may modify, suspend, or discontinue any feature or the Platform itself at any time, with or without notice.

We may update these Terms from time to time. Where changes are material, we will endeavour to provide reasonable notice (such as by email or an in-platform notification). Continued use of the Platform after updated Terms are posted constitutes your acceptance of those changes.
